Music Alumni Chapter Bylaws
MEMBERSHIP
- Section 1."All persons who have attended California State University, East Bay for one quarter or more and who are no longer registered as an undergraduate student are eligible for REGULAR MEMBERSHIP in the Music Alumni Chapter."
- Section 2."Faculty and staff members of the University, and spouses of members not qualifying for membership under Section 1 of this Article may become ASSOCIATE MEMBERS in the Chapter upon payment of fees. Associate members are afforded all rights and privileges of full membership but may not vote or hold office."
- Section 3."Life membership may be awarded to regular members in the Chapter upon payment of necessary fees."
- Section 4."Honorary membership may be conferred upon any individual by a majority vote of the Board of Directors. Honorary members shall have no rights or privileges in the Chapter, unless they also qualify for membership under Section 1 or 2 of this Article."
- Section 5."No person or persons shall be discriminated against due to race, color, creed, national origin, or sex."
- Section 6."REGULAR and ASSOCIATE memberships initiated in a calendar year shall expire on 30 June of the following year."
ARTICLE II - OFFICERS AND BOARD OF DIRECTORS
- Section 1."The officers of the Chapter shall be President, Vice President, Secretary, and Treasurer. (The offices of Secretary and Treasurer could be combined.) They shall be members of the Board of Directors."
- Section 2."The Board of Directors shall consist of six (6) members of the Chapter, including the officers."
- Section 3."The term of office for officers shall be one year and officers may be consecutively re-elected. The term of office for the Board of Directors other than officers shall be two years. Terms of elected Directors shall rotate so that no more than one-third (1/3) of the Board of Directors is elected at any one time. The nominee(s) with a plurality of the votes cast shall become the new officer/director." Section 4."Vacancies of officer and director positions occurring other than by expiration of term may be filled by appointment from the President or Vice President, subject to the approval of the remaining members of the Board of Directors." Section 5."An officer or director may be removed at any time by the affirmative vote of two-thirds of the Board of Directors." ARTICLE III DUTIES OF OFFICERS AND DIRECTORS Section 1. The President "shall be the chief spokesperson of the Chapter. He/She shall be the presiding officer at all meetings of the Chapter and shall be an ex-officio member of all committees. The President shall perform other duties as may be prescribed by the Board of Directors or set forth elsewhere in these Bylaws." Section 2. The Vice President "shall be responsible for keeping records and data of the membership in cooperation with the Treasurer of the Chapter and the Office of University Relations at California State University, East Bay. He/She shall be chairperson of the Membership Committee. In the absence or incapacity of the President, the Vice President shall perform other duties as may be prescribed by the Board of Directors." Section 3. The Secretary "shall be responsible for recording minutes of all meetings of the Chapter and its committees. He/She shall maintain and respond to all correspondence of the Chapter except in cases where response is to be made by another officer or director. The Secretary shall perform other duties as may be prescribed by either the President or by the Board of Directors." Section 4. The Treasurer "shall be responsible for completing and maintaining all financial statements, income tax records, and other records pertaining to the financial affairs of the Chapter. The Treasurer shall perform other duties as may be prescribed by either the President or by the Board of Directors." Section 5. The Board of Directors shall be responsible for: a) All business affairs of the Music Alumni Chapter. b) Supervision of officers. c) Informing proper authorities in the event of bankruptcy inactivity of the Chapter. d) Filing of the Periodic Report and other documents necessary to establish and maintain incorporation within the State of California. e) Other duties as mentioned elsewhere in these Bylaws or as may be authorized by law. ARTICLE IV COMMITTEES Section 1. The Standing Committees of the Chapter shall be: a) Nominating Committee, chaired by the President. b) Membership Committee, chaired by the Vice President. Section 2."The President may create ad hoc committees subject to the approval of the Board of Directors, and appoint the committee Chairperson." Section 3."The members of the committee shall be only those who quality for membership in the Chapter under Article I, Sections 1 or 2 of these Bylaws. A quorum for committees shall be a simple majority." Section 4. The duties of the committees are: a) The "Nomination Committee" shall be responsible for the selecting of at least one candidate per vacant office to be placed on the Ballot at the annual meeting of the Chapter. b) The "Membership Committee" shall seek membership benefits and assist the Vice President in performing his/her duties. c) Ad hoc committees shall engage in projects related to the purpose(s) for which they were created. ARTICLE V NOMINATIONS AND ELECTION Section 1."At three months prior to the date of the annual meeting, a Nominations Committee shall form and shall consist of the President, one director other than officers, and one member-at-large appointed by the President. The President shall serve as chairperson." Section 2. Election of officers and directors shall be as follows: a) By April 1, the Nominations Committee shall present a slate of nominees consisting of at least one nominee per vacancy to be filled. b) The Chapter's annual meeting in April will be for the purpose of electing directors that are to be elected and transacting other business that may arise at such a meeting. c) Directors elected at the Chapter's annual meeting shall hold office until the election of their successors at the next annual meeting of members, at which time the newly elected person will be phased in to assume responsibility on June 1. ARTICLE VI MEETINGS Section 1."All meetings of the Chapter shall be held at the principal office of the Chapter." Section 2."Special meetings of the Board of Directors or members may be called for any purpose at any time upon seventy-two (72) hour advance notice to the membership by either the President or any member of the Chapter with the written consent of ten percent (10%) of the membership." Section 3."The Annual meeting of the membership shall be held during the latter part of April. This meeting shall be held for the purpose of election of officers and directors of of the Chapter and for transacting other business as may be brought before the meeting." Section 4."A quorum for all meetings shall be a majority of the Board of Directors." Section 5."Robert's Rules of Order, latest edition, shall be the parliamentary authority at all meetings of the Chapter." ARTICLE VII SPECIAL PROVISIONS Section 1."The fiscal year of the Chapter shall begin on July 1 and terminate on the following June 30." Section 2."Unless so authorized by the Board of Directors, no officer or member shall have any power or authority to bind the Chapter by any contract or engagement or to pledge its credit or to render it liable for any purpose or to any amount." Section 3."No compensation or salary shall be paid to any member of the Chapter." Section 4."All disbursements shall be approved by the majority of the Board of Directors at any regular or special meeting of the Chapter in which a quorum is present." Section 5."Directors named in the Articles shall hold office until the election of their successors at the first annual meeting of the members." ARTICLE VIII AMENDMENTS These Bylaws may be adopted, amended, or repealed by the Board of Directors subject to the power of the members to change or repeal the Bylaws except Bylaw or Bylaw amendment fixing or changing the authorized number of directors shall be adopted only by the members.
